Final Order Entered: 1. Atmos is authorized to implement an $8,000,000,000 universal shelf registration for equity and debt financing, subject to provisions and terms contained within its application, superseding previous universal shelf authority granted in Case No. 2023-00001. 2. The proceeds from transaction authorized shall be used only for lawful purposes set out in the application. 3. No costs resulting from this issuance of securities shall be recovered in rates unless Atmos provides evidence sufficient to establish that proceeds were used for Kentucky operations, or some portion of the proceeds may be reasonably allocated to Kentucky operations. 4. Atmos, within ten days after filing its 10Q or 10K filing with the SEC, shall file the information with Commission, (1) statement setting forth the date or dates of issuance; (2) price paid; (3) interest rate, if any; (4) purchasers; and (5) all fees and expenses. 5. Any documents filed pursuant to ordering paragraph 4 of this Order shall reference the number of this case and shall be retained in the post-case correspondence file. 6. The remaining universal shelf registration authority granted to Atmos in Case No. 2023-00001 shall be terminated. 7. This case is closed and removed from the Commission's Docket.

Order Entered: 1. Atmos’s application for approval of the proposed evidence of indebtedness is continued beyond the 60-day period specified in KRS 278.300(2). 2. The procedural schedule set forth in the Appendix to this Order shall be followed. 3. Atmos shall respond to all requests for information propounded by Commission Staff, whether identified on the procedural schedule or otherwise, as provided in those requests. 4. Any party filing a paper with the Commission shall file an electronic copy in accordance with the electronic filing procedures set forth in 807 KAR 5:001, Section 8. Electronic documents shall be in portable document format (PDF), shall be searchable, and shall be appropriately bookmarked. The Commission directs the parties to the Commission’s July 22, 2021 Order in Case No. 2020-00085¹ regarding filings with the Commission.
